Terms of Use
Last revised: October 22, 2026
These Terms of Use (the "Guest Terms") are a legally binding agreement between the person who accesses the Matrix Limos platform or uses the Services, including anyone on whose behalf that person arranges travel (each, the "Guest" or "you"), and Zara Worldwide Inc., a Maryland corporation doing business as Matrix Limos, together with its parents, subsidiaries, affiliates, officers, directors and representatives (collectively, "Matrix Limos", "we", "us" or "our"). They govern your use of the Matrix Limos website, booking tools, applications, communication systems and technology (together, the "Matrix Limos Platform") and the arrangement of the Services described below.
Section 4 contains an agreement to arbitrate and a class-action waiver. They apply to claims brought against us in the United States, including claims that arose before the effective date of these Guest Terms. Read Section 4 carefully.
IF YOU DO NOT AGREE TO THESE GUEST TERMS, YOU MAY NOT ACCESS OR USE THE MATRIX LIMOS PLATFORM OR ANY SERVICE ARRANGED THROUGH IT.
If you use the Matrix Limos Platform for a ride outside the United States, the terms applicable to rides in that country apply.
1. General Provisions
The Matrix Limos Platform is an intermediary service. It connects Guests with premium professional chauffeur services performed by independent local operators and chauffeurs ("Local Service Providers"). We do not provide, own or control the transportation services offered by Local Service Providers (the "Services"). We provide a marketplace through which Guests can book transportation to a chosen destination based on location, timing, vehicle class and preferences, and we facilitate the connection. The Services themselves are performed by the Local Service Provider.
Your use of the Matrix Limos Platform and the Services is also governed by the policies published on matrixlimos.com, which form part of these Guest Terms: the Privacy Policy, the Cancellation Policy, the passenger and luggage capacities shown for each vehicle class at booking, and any other Matrix Limos standards and policies for the United States published on matrixlimos.com.
2. Eligibility
The Matrix Limos Platform may be used only by individuals who have the legal authority to agree to these Guest Terms and who can comply with every condition and obligation in them. If you book for a passenger other than yourself, you are responsible for ensuring that the passenger complies with the conditions that apply to passengers.
To book a ride you must provide accurate contact and payment details and, where offered, register and maintain an active account ("Account"). Access is restricted for Guests whose Accounts have been deactivated, whether temporarily or permanently. An Account is personal: you may not share it or use it on behalf of third parties, and only one Account per person is permitted. We may deactivate duplicate Accounts.
By booking or creating an Account you confirm that you are at least 18 years old. A parent or legal guardian may book for, or create an Account for, a minor aged 16 or 17, and in doing so assumes responsibility for the minor's use of the Matrix Limos Platform in compliance with these Guest Terms.
3. Modification of these Guest Terms
We may modify these Guest Terms or any policy relating to the Matrix Limos Platform at any time. A modification takes effect when the updated version is posted on the Matrix Limos Platform or communicated to you through any other channel we make available. You will be given the opportunity to accept updated terms on future bookings. Review these Guest Terms regularly; continued use of the Matrix Limos Platform after a change constitutes acceptance of that change. Unless a modification makes material changes to the arbitration provisions, a modification does not create a new opportunity to opt out of arbitration.
4. Arbitration Agreement
a. Covered Claims. Except where prohibited by law, you and Matrix Limos agree that every dispute or claim between you and Matrix Limos that has arisen or may arise out of or relating to (i) these Guest Terms or any prior version of them, including their existence, breach, termination, enforcement, interpretation, scope, waiver or validity; (ii) your access to or use of the Matrix Limos Platform at any time; or (iii) any incident or accident resulting in personal injury or death to you or anyone else that you allege occurred in connection with the Matrix Limos Platform (each a "Claim"), whether it arose before or after you agreed to these Guest Terms, will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules or such other AAA rules as the AAA determines apply (the "AAA Rules"). This Arbitration Agreement is governed by the Federal Arbitration Act. If for any reason the Federal Arbitration Act does not apply, it is governed by the laws of the State of New York. Arbitration is the sole and exclusive remedy and forum for all Claims. Claims include, without limitation: claims of discrimination or harassment on the basis of any characteristic protected by law (except claims of sexual harassment or sexual assault, at your election); claims of retaliation; claims for breach of any contract or covenant, express or implied; claims for violation of any federal, state or local law, statute, regulation or ordinance, now existing or later enacted; individual claims under any private-attorney-general statute; and any tort claim.
b. Waiver of Jury Trial. YOU AND MATRIX LIMOS EACH GIVE UP THE RIGHT TO HAVE ANY COVERED CLAIM DECIDED IN A COURT BEFORE A JUDGE OR JURY, OR IN AN ADMINISTRATIVE PROCEEDING, AND INSTEAD ACCEPT FINAL AND BINDING ARBITRATION.
c. Waiver of Class Action. EVERY CLAIM, WHETHER BROUGHT BY YOU OR BY MATRIX LIMOS, MUST BE BROUGHT IN THAT PARTY'S INDIVIDUAL CAPACITY. NO CLAIM MAY BE BROUGHT AS A PLAINTIFF, CLAIMANT, CLASS REPRESENTATIVE OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING, NOR JOINED OR CONSOLIDATED WITH THE CLAIMS OF ANY OTHER PERSON OR ENTITY. Each party waives and releases any right to initiate or participate as a class member in any such proceeding against the other.
d. Claims Not Covered. This agreement to arbitrate does not cover (i) at your election, claims of sexual harassment or sexual assault; and (ii) claims that are not arbitrable under federal, state or local law, as determined by the arbitrator. Only the claim, or part of a claim, that cannot be arbitrated is excluded; every other Claim or part of a Claim is severed and remains subject to arbitration to the fullest extent permitted. Nothing in these Guest Terms prevents either party from filing a charge or complaint with a government agency that prosecutes claims on the government's behalf, but each party waives any individual remedy or relief resulting from such a charge or complaint to the extent the law permits.
e. Statute of Limitations. Every Claim must be brought within the limitation period established by applicable law.
f. Arbitration Procedures.
- Rules. The arbitration is conducted by the AAA under its Consumer Arbitration Rules as modified by this Section 4. The AAA Rules are available at www.adr.org or by calling the AAA at 800-778-7879. Where the AAA Rules conflict with these Guest Terms, these Guest Terms govern. Either party may go to court to compel arbitration under these Guest Terms or to enforce an arbitration award; otherwise neither party may bring a lawsuit or administrative action relating to a Claim except as these Guest Terms allow. If the value of the relief sought is $10,000 or less, either party may elect to have the arbitration conducted by telephone, by video or on written submissions, subject to the arbitrator's discretion to require an in-person hearing.
- Pre-arbitration dispute resolution. Before either party demands arbitration, the parties will personally meet and confer, by telephone or video conference, in a good-faith effort to resolve the Claim informally. Multiple individuals may not join the same conference. If you are represented by counsel, your counsel may attend, but you must participate personally. The party raising the Claim must give the other written notice of its intent to hold a conference, and the conference must take place within 60 days of the other party's receipt of that notice unless the parties agree to extend. Notice to Matrix Limos is sent to Zara Worldwide Inc. d/b/a Matrix Limos, Attn: Legal, 4 E Rolling Crossroads, Suite 207, Catonsville, MD 21228, with a copy to info@matrixlimos.com, stating your name, the telephone number and email address associated with your booking, and a description of your Claim. Completing this conference is a condition precedent to arbitration; the arbitrator will dismiss any demand filed before it is completed. Limitation periods and filing deadlines are tolled while the parties follow this paragraph.
- Initiating arbitration. Either party may initiate arbitration under the AAA Rules. Demands may be filed at www.adr.org/fileacase. The initiating party must also mail a copy of the demand to the other party. A demand against Matrix Limos is sent to the address in paragraph 2 or served on our registered agent for service of process.
- Arbitrator selection. A single arbitrator decides all Claims. The parties will agree on an arbitrator within 30 days of notice that arbitration has commenced; failing agreement, the AAA appoints the arbitrator under the AAA Rules. The arbitrator has exclusive authority to decide any dispute about arbitrability and about the interpretation, applicability, enforceability or formation of this agreement to arbitrate, and decides all procedural questions bearing on a Claim's disposition.
- Hearing. Any arbitration hearing takes place in Westchester County, New York. Each party irrevocably waives any objection to that venue or to the convenience of that forum and agrees not to bring any proceeding relating to a Claim or these Guest Terms in any other venue.
- Decision. The arbitrator issues a written decision stating the essential findings of fact and conclusions of law. The award is final and binding.
- Confidentiality. Except as required by law, all proceedings and all documents prepared for an arbitration are confidential, and the subject matter may not be disclosed to anyone other than the parties, their counsel, witnesses and experts, the arbitrator and, where involved, the court and its staff. The parties will stipulate to any orders needed to give effect to this paragraph.
- Awards. The arbitrator may award only the equitable relief, damages, costs and fees that a court of competent jurisdiction could award for the particular Claims asserted; any action of the arbitrator beyond this limit may be appealed to a court by the initiating party. All other aspects of the award are final. A court of competent jurisdiction may enter judgment on the award.
- Fees and costs. The parties share equally the arbitrator's fees and the AAA's administrative fees, subject to a final allocation by the arbitrator applying any required legal principle. Each party may be represented by an attorney or other representative of its choice and bears its own attorneys' and expert-witness fees unless a contract or statute requires otherwise.
- Binding effect. Your agreement to arbitrate binds all parties whose claims relate to your use of the Matrix Limos Platform, including spouses, heirs, third-party beneficiaries and permitted assigns, and any person on whose behalf you make a booking. Claims brought by third-party beneficiaries against a party are also subject to this agreement to arbitrate.
5. Payment
When you request a ride through the Matrix Limos Platform, we quote a fare at the time of the request. The quote may change until the ride request is confirmed. Using the Services gives rise to charges for the services you obtain from a Local Service Provider ("Charges"). Charges may include the fare for the vehicle class selected, a booking or administration fee, airport and parking fees, surcharges for early-morning, late-night or peak periods, waiting time beyond the included allowance, additional stops, add-on services selected at booking, and applicable taxes where the law requires. Tolls are not included in the quoted fare and are added to the Charges. A standard gratuity for the Local Service Provider is included in the quoted fare; it means that no further amount is added to what you have paid. You are free to give an additional gratuity to the Local Service Provider but are under no obligation to do so.
Charges are payable at the time of booking. We charge the payment method you provide when you confirm the reservation and send you a receipt by email. If your primary payment method is expired, invalid or otherwise unchargeable, you agree that we may use any secondary payment method on your booking. You bear any transaction fee arising from a payment by bank transfer. Payments are final and non-refundable except as provided in the Cancellation Policy or as we otherwise decide. Refunds we approve are returned to the original payment method.
We may set, change or remove Charges at our discretion, and Charges in some areas may rise during periods of peak demand. We will make reasonable efforts to inform you of applicable Charges, but you are responsible for the Charges incurred for any booking whether or not you were aware of them. From time to time we may offer promotional codes, vouchers or discounts to some Guests, which may result in different amounts being charged for similar services; a promotion does not affect your Charges unless it was extended to you. You may cancel a ride request, which may incur a cancellation fee under the Cancellation Policy.
The payment structure is intended to compensate the Local Service Provider in full for the Services performed. You are responsible for the cost of repairing damage to, or cleaning, the vehicle or other property of the Local Service Provider where that cost exceeds normal wear and tear from your use of the Services. If a Local Service Provider reports damage or a cleaning requirement that we reasonably verify, we may charge the cost to your payment method on file on the Local Service Provider's behalf. Those amounts are forwarded to the Local Service Provider and are non-refundable.
6. Intellectual Property
All intellectual property rights in and to the Matrix Limos Platform belong to Matrix Limos absolutely and in their entirety, including database rights, inventions and patentable subject matter, patents, copyright, design rights whether registered or unregistered, trademarks whether registered or unregistered, and similar rights anywhere in the world, together with the right to apply for protection of them. All other trademarks, logos, service marks and company or product names appearing on the Matrix Limos Platform belong to their respective owners.
Any questions, comments, suggestions, ideas, feedback or other information you or anyone on your behalf provides to us ("Submissions") are non-confidential and become our sole property. We own all rights in Submissions, including intellectual property rights, and may use and disseminate them for any purpose, commercial or otherwise, without acknowledgment or compensation to you. Except for the licences expressly granted in these Guest Terms, nothing in them transfers ownership of, or grants a licence under, any intellectual property right.
7. Disclaimers
Matrix Limos does not provide transportation services. Matrix Limos is not a transportation network company, a broker, a common carrier or a public carrier. The following disclaimers are made on behalf of Matrix Limos, its affiliates, subsidiaries, parents, successors and assigns, and each of their officers, directors, employees, agents and shareholders.
THE MATRIX LIMOS PLATFORM AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OR CONDITION OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. YOUR USE OF THE MATRIX LIMOS PLATFORM AND THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH YOUR USE OF THE MATRIX LIMOS PLATFORM AND THE SERVICES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.
WE DO NOT GUARANTEE OR PROMISE ANY PARTICULAR RESULT FROM USE OF THE MATRIX LIMOS PLATFORM, INCLUDING THE AVAILABILITY OF SERVICES AT ANY GIVEN LOCATION OR TIME. WE MAY LIMIT OR WITHDRAW ACCESS TO THE MATRIX LIMOS PLATFORM IN PARTICULAR GEOGRAPHIC AREAS OR AT PARTICULAR TIMES FOR REASONS OF COMMERCIAL VIABILITY, PUBLIC HEALTH OR CHANGES IN LAW.
WE DISCLAIM ALL LIABILITY AND RESPONSIBILITY FOR ANY:
- errors, mistakes or inaccuracies in content or materials;
- personal injury or property damage of any nature resulting from your access to or use of the Services or the Matrix Limos Platform;
- representation or guarantee, past, present or future, about the condition, state of repair, suitability or security of any location accessed or vehicle used in connection with the Services;
- direct or indirect damage, loss or injury resulting from the acts or omissions of you, your passengers or any third party, including criminal or illegal activity;
- unauthorised access to or use of our secure servers or any personal or financial information stored on them;
- interruption or cessation of transmission to or from the Services;
- bugs, viruses or similar code transmitted to or through the Matrix Limos Platform by any third party;
- connectivity, availability, accuracy, completeness or reliability of the Matrix Limos Platform, including mapping, navigation, estimated arrival times and routing; or
- error or omission in any content, or loss or damage of any kind incurred as a result of content posted, transmitted or otherwise made available through the Services.
WE DO NOT WARRANT, ENDORSE, GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES OR ANY LINKED WEBSITE OR APPLICATION, AND WE ARE NOT A PARTY TO, AND DO NOT MONITOR, ANY TRANSACTION BETWEEN YOU AND A THIRD-PARTY PROVIDER. USE YOUR OWN JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
MATRIX LIMOS IS NOT LIABLE FOR ANY DAMAGE, LIABILITY OR LOSS ARISING FROM THE ABSENCE OR IMPROPER INSTALLATION OR USE OF A CHILD RESTRAINT SYSTEM ON ANY RIDE REQUESTED THROUGH THE SERVICES FOR A PASSENGER FOR WHOM A CHILD RESTRAINT SYSTEM IS LEGALLY REQUIRED.
MATRIX LIMOS IS NOT LIABLE FOR ANY DAMAGE, LIABILITY OR LOSS ARISING FROM (i) YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THEM; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY LOCAL SERVICE PROVIDER, EVEN IF MATRIX LIMOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. MATRIX LIMOS IS NOT LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND ITS REASONABLE CONTROL. YOU ACKNOWLEDGE THAT LOCAL SERVICE PROVIDERS ARE NOT OSTENSIBLE AGENTS, APPARENT AGENTS, ACTUAL AGENTS OR EMPLOYEES OF MATRIX LIMOS.
Claims relating to the liabilities and disclaimers in this Section may be directed to the relevant third parties, including those providing the driver services.
8. Limitation of Liability
NEITHER MATRIX LIMOS NOR ANY OF ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS IS LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY OR DEATH, OR PROPERTY DAMAGE, RELATED TO, IN CONNECTION WITH OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES OR ANY BREACH OF THESE GUEST TERMS OR OF ANY ADDITIONAL TERMS THEY INCORPORATE, REGARDLESS OF ANY NEGLIGENCE, WHETHER ACTIVE, AFFIRMATIVE, SOLE OR CONCURRENT, OF MATRIX LIMOS, EVEN IF MATRIX LIMOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANY OTHER PROVISION OF THESE GUEST TERMS, THE TOTAL LIABILITY OF MATRIX LIMOS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO MATRIX LIMOS IN THE TWELVE (12) MONTHS PRECEDING THE DATE OF THE CLAIM AND (B) ONE THOUSAND U.S. DOLLARS ($1,000).
THE LIMITATIONS IN THIS SECTION DO NOT LIMIT LIABILITY OR ALTER YOUR RIGHTS AS A CONSUMER WHERE APPLICABLE LAW DOES NOT PERMIT THEM TO BE EXCLUDED. BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN THOSE STATES AND JURISDICTIONS THE LIABILITY OF MATRIX LIMOS IS LIMITED TO THE EXTENT PERMITTED BY LAW. THIS SECTION DOES NOT AFFECT THE CHOICE-OF-LAW PROVISION IN SECTION 12.
9. Indemnity
You agree to indemnify and hold harmless Matrix Limos and its affiliates, and their officers, directors, employees and agents, from and against all actions, claims, demands, losses, liabilities, costs, damages and expenses (including attorneys' fees) arising out of or in connection with: (i) your use of the Services, or of goods or services obtained through the Services; (ii) your breach of these Guest Terms or of any policy they incorporate; (iii) any violation by you or your passengers of any law or of the rights of any third party, including other guests or riders, the personnel of a Local Service Provider, other motorists or pedestrians; (iv) any harmful act committed by you or your passengers toward any person connected with the Services, including any driver; (v) damage to real or personal property resulting from the acts or omissions of you or your passengers; (vi) any illegal or criminal activity by you, your passengers or third parties in connection with the Services; or (vii) any other activity in connection with these Guest Terms or the Services. These obligations apply regardless of any negligence of Matrix Limos or any other party. You will not, without our written consent, agree to any settlement on behalf of Matrix Limos that obliges it to pay any amount or that admits liability, civil or criminal, on its part.
10. Force Majeure
Matrix Limos is not in breach of these Guest Terms, and is not liable for any failure or delay in performing its obligations under them, where the failure or delay results from events, circumstances or causes beyond its reasonable control, including natural disasters or acts of God; severe weather; road closures; airport or flight disruptions; labor disputes or stoppages; war; government action; epidemic or pandemic; chemical or biological contamination; strikes; riots; acts of domestic or international terrorism; quarantines; national or regional emergencies; or any other cause, whether or not similar to the foregoing, beyond its reasonable control. Service dates affected by such an event are tolled for its duration. Where feasible, the parties agree to reschedule rather than cancel the affected obligations as soon as practicable after the event ends.
11. Term and Termination
These Guest Terms, and every policy they incorporate, take effect when you select "I agree" or otherwise accept them at booking, and remain in force while you use the Services. We may terminate these Guest Terms or deactivate your Account immediately if (1) you no longer meet the eligibility requirements; (2) we determine that deactivation is necessary to protect the safety of the Matrix Limos community or of third parties; or (3) for any other reason we reasonably consider appropriate. If your Account is deactivated you will be notified and given an opportunity to resolve the issue before permanent termination. For other breaches of these Guest Terms you will also receive notice and an opportunity to address the breach. Provisions that by their nature should survive termination, including Sections 4 through 9 and 12 through 14, continue to apply after termination.
12. Choice of Law
These Guest Terms are governed by and construed in accordance with the laws of the state in which your dispute arises, without regard to the choice-of-law or conflict-of-law principles of any jurisdiction, except as otherwise provided in the agreement to arbitrate in Section 4. This provision applies only to the interpretation of these Guest Terms and does not extend any state's law to you if your dispute did not arise in that state. Any dispute, claim or controversy arising out of or relating to an incident or accident that is excepted from the agreement to arbitrate, or that a court of competent jurisdiction determines is not subject to arbitration, whether it arose before or after you agreed to these Guest Terms, is governed by the laws of the state in which the incident or accident occurred.
13. Choice of Forum
To the extent any Claim does not proceed in arbitration under Section 4, any dispute, claim or controversy arising out of or relating to these Guest Terms, or their existence, breach, termination, enforcement, interpretation or validity, must be brought exclusively in the state or federal courts located in the state in which the dispute arose, notwithstanding that other courts may have jurisdiction over the parties and the subject matter. Any dispute, claim or controversy arising out of or relating to an incident or accident resulting in personal injury, including a claim of sexual assault or harassment, that you allege occurred in connection with your use of the Services, and that does not proceed in arbitration, must be brought exclusively in the state or federal courts located in the state in which the incident or accident occurred, to the extent permitted by law.
14. Final Provisions
These Guest Terms, together with the additional terms and policies they incorporate by reference, constitute the entire agreement between Matrix Limos and the Guest regarding the Services. There are no collateral agreements. If any part of these Guest Terms is found to be unenforceable, that part is severed and the remaining provisions continue in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign these Guest Terms without our prior written consent; we may assign them to an affiliate or a successor.
